NOTICE TO CUSTOMERS OF LEGAL TERMS


Woo Import Solution, herein referred to as "WIS," together with its officers, employees, and agents, shall not assume any liability for losses and damages under circumstances as delineated within Condition No. 9. In the event that WIS or any of its officers, employees, or agents is held liable, the extent of such liability shall be strictly constrained by the limits specified under Condition No. 6. Customers are thus strongly advised to exercise due diligence before entering into any transaction.


1. Terms and Conditions

By submitting materials for shipment through Woo Import Solution and by means of this Waybill, Client (You)  hereby agrees to the stipulations and conditions delineated herein. None of WIS's employees or agents have the authority to modify or deviate from any provisions set forth in these terms and conditions.

2. CONSIGNMENT NOTE or Air Waybill: This Waybill is inherently NON-TRANSFERABLE, and the You hereby acknowledges its origin as prepared either by the Client (You) itself or a representative of WIS acting on behalf of the Client (You). Client (You) warrants its ownership of the transported goods or acts as the duly authorized agent of the goods. By extension, the Client (You) hereby acknowledges its acceptance of the terms and conditions, both personally and as an agent for any entity possessing an interest in the consignment.

3. OBLIGATIONS AND ACKNOWLEDGMENTS OF THE Client (You): The Client (You) affirms that each item within the shipment is accurately described within this Waybill and has not been classified by WIS as unsuitable for transportation, as enumerated in Condition No. 3. Furthermore, the Client (You) warrants that the shipment bears the unique order number code and has been packaged by the supplier in a manner conducive to safe transportation, with reasonable care in handling. The Client (You) also certifies to WIS that it has adhered to the packaging guidelines delineated in Appendix I. Moreover, the Client (You) acknowledges WIS's prerogative to decline or terminate the carriage or conveyance of any goods for any individual, entity, or company, with WIS retaining the discretion to transport any category of goods. The Client (You) acknowledges WIS's right:

(a) to remove the cargo and transfer it to an alternate storage facility in the event of non-claim within thirty (30) days of its arrival at the Malabon Warehouse; and (

b) to publicly auction the cargo if not claimed within sixty (60) days of its arrival at the Manila Warehouse, without the necessity of judicial intervention. The proceeds from the auction shall be applied toward accumulated charges, encompassing freight charges, storage, and auction-related expenses. WIS assumes no responsibility to release the cargo unless all associated storage and other fees, if applicable, are settled. Storage charges are computed at Five Hundred Pesos (PHP 500.00) daily for every day surpassing ten (7) days from the issuance of the billing statement.

4. PROHIBITED SHIPMENT: Goods classified as prohibited under Philippine laws, such as illicit drugs, narcotics, inflammable substances, corrosive chemicals, hazardous liquids, and other items barred from shipment or conveyance, shall not be accepted for transport. Items such as corrosive materials, fragile objects, perishable commodities, glassware, ceramic items, brittle goods, and similar articles will be accepted for shipment solely at the Client (You) or OWNER'S RISK. By proceeding with this shipment, you acknowledge and agree to waive all claims and rights against WIS in case of damage to your items.

5. RIGHT TO INSPECTION OR SHIPMENT: The Bureau of Customs (BOC) and the General Administration of Customs of the People's Republic of China (GACC) hold the right, though not the obligation, to inspect any shipment, including the unsealing of the shipment if deemed necessary. WIS shall not be held liable for damages resulting from such inspections.

a.Prohibition on Underreporting
Client (You) are strictly prohibited from underreporting the value, nature, or type of goods being shipped. If a container is detained or held by customs due to misdeclaration or underreporting, the Carrier (WIS) shall bear no liability for any resulting delays, penalties, or other consequences.

b.Customs Inspections and Handling
In the event that customs authorities (at the origin or destination) conduct an inspection, including but not limited to sampling the goods, the Client (You) acknowledges that such actions are under the exclusive control of the customs authorities. These procedures are beyond the Carrier's control, and WIS shall not be held liable for any consequences arising from such inspections. To mitigate the risk of inspection-related issues, the Client (You) must ensure full compliance with the requirement outlined in Prohibition on underreporting.

c.Application of Incoterms
WIS strictly adheres to the Incoterms agreed upon between the Client (You) and  supplier. The Client (You) acknowledges that Incoterms are international trade rules that govern the allocation of risks, responsibilities, and liabilities between the buyer and seller and have no bearing on WIS’s transportation or import services. WIS’s role is limited to the provision of services explicitly contracted by the Client (You).

5. LIEN ON SHIPPED GOODS: WIS shall assert a lien on all shipped goods, serving as collateral for freight charges, advances, or any other charges arising from the transportation. WIS may withhold the surrender of possession accordingly.

6. LIMITATION OF LIABILITY: WIS does not provide comprehensive "All Risk" coverage, thus, the maximum compensation for claims is capped at P5,000. Without prejudicing Condition No. 8, WIS's liability for any loss or damage to the shipment, encompassing all documents or parcels intended for delivery through this Waybill, is restricted as follows, with the lowest of the following to apply:

a. The actual loss or damage sustained by a document or parcel,
b. The factual value of the document as established under Condition No. 7 herein, irrespective of its commercial utility or distinct value to the Client (You),
c. The value declared by the Client (You) as orally stipulated,
d. 2 times the cumulative freight expenses from China to the Philippines.

7. ACTUAL VALUE:

a. The authentic value of a document (comprising items of no commercial value) transported herein shall be ascertained based on its cost of preparation, replacement, reconstruction, or reconstitution at the time and place of shipment, selecting the lesser.
b. The authentic value of a parcel (including items of commercial value) transported herein shall be determined by its cost of repair, replacement, or resale at fair market value at the time and place of shipment, opting for the lesser. In no event shall this value exceed the original purchase cost of the item as paid by the Client (You).

8. EXCLUSION OF CONSEQUENTIAL DAMAGES: In no circumstance shall WIS be held no accountable for consequential or special damages, or any other indirect losses, regardless of their origin, including but not limited to, lost income, profits, interest, utility, or market losses.

9. NON-ASSUMPTION OF LIABILITIES: While WIS will exert diligent efforts to ensure prompt delivery in accordance with regular schedules, it shall not, under any circumstances, be held liable for delays in pick-up, transportation, or delivery of any shipment, irrespective of the cause of such delay, unless under a specific, prearranged written agreement. Additionally, WIS shall not be liable for loss, damage, misdelivery, or non-delivery due to the following: a. Acts of God, force majeure, unforeseeable events, or causes beyond the control of WIS; or b. Caused by: (b.1) Acts or omissions of the Client (You), consignor, or any other party asserting an interest, including violations of any terms or conditions herein, or by parties other than WIS, irrespective of whether such third-party arrangements were requested or acknowledged by the Client (You). (b.2) Acts or omissions of the Client (You) resulting from non-compliance with the unique order number code to be affixed on all parcels. (b.3) Non-adherence of the Client (You) to proper packaging guidelines outlined in Appendix I.

10. CLAIMS: a. Any claim must be promptly reported to WIS within twenty-four (24) hours from the acceptance of the shipment and must be submitted to our customer care support team through our Facebook Page. Claims filed after the 7-day period from the Client (You) acceptance of the shipment may no longer be entertained. b. Claims arising from package re-measurements or re-weighing will be considered, provided that all applicable freight charges due to WIS have been fully settled. Reimbursements for such claims will be processed within 1-2 business days. c. No claim for loss or damage will be entertained until all transportation charges are settled. Such claims may not be offset against any transportation or freight charges owed to WIS.

11. CONSOLIDATION: WIS strictly adheres to a First In, First Out (FIFO) policy and refrains from consolidating packages delivered to our China Warehouses.

12. PICK-UPS: Partial pick-ups of parcels from our Manila Warehouse shall not be entertained. The complete quantity of boxes as indicated on the Waybill shall be released during the pick-up day. In the event that the Client (You) fails to settle the dues for the Waybill, WIS reserves the right to withhold the release of shipments. Parcel release will transpire upon submission of proof of payment. In cases where the Client (You) has outstanding balances with the company (payment for importation fees, service charges, etc.), WIS retains the right to deny shipment release until all pending balances are settled.

13. PRICING: The pricing, as delineated on our website, shall govern. This will be reflected in the billing statement sent to the designated email address. The pricing is final and irreversible. Changes in pricing may occur without prior notice.

14. ESTIMATE PRICE: The estimated quotation offered by any sales associate or any price given via chat  of Woo Import Solution through various channels is inherently subject to modification, as it hinges upon the precise measurement of the cargo. The greater of the two metrics, Volume Weight measured at Weight/500KG or Cubic Meter computed as LxWxH (cm) x # of boxes /1,000,000 = CBM (via Sea) LxWxH/6000 (via Air) , shall be applied.

15. TARIFF RATES CHANGES: The established standard rates stipulated by Woo Import Solution sales are similarly subject to alteration, as they adhere to the authentic tariff rates delineated by Philippine Customs. This provision solely pertains to Less than Container Load (LCL) shipments and excludes Full Container Load (FCL) shipments.

16. APPLICABILITY: These terms and conditions shall be binding upon WIS, its authorized agents, affiliated entities, their officers, directors, and employees, to their advantage.

17. GOVERNING LAW AND JURISDICTION: This Agreement shall be subject to and construed in accordance with the laws of the Philippines, without regard to any conflicts of law.


APPENDIX I - GUIDELINES FOR PACKAGING

The ensuing list presents non-exhaustive packaging guidelines and items prohibited by Woo Import Solution (WIS), which the Client (You) is required to comply with:

(a) External Packaging: Each parcel must feature external packaging encompassing 100% of the exposed surface area (e.g., carton box or poly mailer). If this is not the case, the package must be shrink-wrapped or bubble-wrapped in its entirety.

(b) Internal Packaging: Parcels should be securely and snugly packed; if not, vacant spaces should be filled with suitable fillers, such as loose newspapers, cotton wool, or scrap paper.

(c) Protection for Fragile Items: Items such as ceramics, glass, and other delicate articles should be enveloped in protective materials like bubble wrap before insertion into an external box.

(d) Irregularly Shaped Packages: Irregularly sized items must be placed within a larger box, with voids filled using fillers.

(e) Special Care for Ceramics: Ceramics, glass, and other fragile articles must be wrapped in protective materials (e.g., bubble wrap).

(f) Resilience to Transportation Handling: Parcels must withstand reasonable handling and impacts during transport.

(g) Fragile Items: All fragile items or those of a similar nature should be labeled with a "fragile" sticker and are also expected to be crated.

(h) Removal of Old Labels: External packaging must be devoid of past addresses or tracking labels.

(i) Unique Order Number Code: Each parcel should be marked with a visible, distinct order number code.

(j) Upright Position for Sensitive Items: Sensitive items like liquor or wine should be positioned upright and labeled with an "upright" sticker.

(k) Protection for Large Cargo and Bulky Items: Large (Cargo with over 500kg in a single pallet), bulky items (Multiple cargo in one pallet) requiring extra defense against vibration, shock, and movement during transport should be crated.


Sourcing and Buying Terms


Risk Acknowledgment:

By using our goods sourcing services in China, the customer acknowledges and understands the inherent risks associated with sourcing of goods from China, including but not limited to, regulatory changes, quality variations, delays, and other uncertainties.

Variance in Product Matching:

The goods we source in China may not always be 100% identical to the specifications provided by the customer or the samples provided. Variations in design, color, size, and other attributes may occur.

Limited Quality Assurance:

Woo Import Solution do not conduct comprehensive quality checks or inspections on the sourced items. Our role is solely to facilitate the purchasing process based on your specifications.

Image and Video Representations:

All photos and videos provided to the customer are sourced from local marketplace listings and supplier materials. We cannot guarantee that the actual products will be identical to these representations.

Pricing Flexibility:

Quotation pricing is subject to change based on fluctuations in foreign exchange rates, tariffs, taxes, and other factors beyond our control. Customers are responsible for any additional costs resulting from such changes.

Shipping and Handling Risks:

In the event that goods are damaged during the delivery process, our company does not assume liability for the damaged items. Such incidents are considered part of the inherent risks of sourcing goods from China, and we do not provide compensation for broken items.

Sample Purchase Recommendation:

To minimize the risk of receiving incorrect or unsatisfactory items, we strongly recommend that customers purchase a sample of the desired product before placing bulk orders. Samples serve as a means to verify the product's quality, appearance, and specifications.

Service Fee:

Our company charges a service fee of 5% of the total order value for our sourcing services. It's important to note that we do not sell products directly; our primary role is to assist customers in the procurement process by facilitating purchases from suppliers in China.

Non-Markup Policy:

Our company does not engage in product resale or markup on prices. We act solely as an intermediary to assist customers in locating suppliers and facilitating the purchase of products. Therefore, the prices quoted for products are based on the supplier's rates, and we do not add any markup to these prices.

Customer Responsibility:

The decision to proceed with a purchase, including choosing suppliers, product specifications, and order quantities, rests solely with the customer. We emphasize that customers should make informed decisions, fully understanding the associated risks and liabilities involved in sourcing goods from China.
